Terms of Service

Last updated May 19, 2026

These Terms of Service (these “Terms”) constitute a binding agreement between you (whether an individual or, where you are acting on behalf of an entity, that entity, in each case, “you”) and Pitchtape, Inc. d/b/a Springform, together with its affiliates and subsidiaries (collectively, “Springform,” “we,” “us,” or “our”). These Terms govern your access to and use of the website located at https://springform.app and its subdomains, the Springform software application, the application programming interfaces made available by Springform, and any other products, software, features, content, and services made available by Springform in connection therewith (collectively, the “Service”).

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN PROVISIONS THAT MATERIALLY AFFECT YOUR RIGHTS, INCLUDING (A) WAIVERS OF TRIAL BY JURY AND OF THE RIGHT TO BRING OR PARTICIPATE IN CLASS, COLLECTIVE, OR REPRESENTATIVE ACTIONS; (B) LIMITATIONS ON SPRINGFORM'S LIABILITY; (C) AN EXCLUSIVE FORUM-SELECTION CLAUSE; AND (D) A ONE-YEAR LIMITATION PERIOD FOR CLAIMS.

By accessing or using the Service, by clicking a button or checking a box indicating your acceptance of these Terms, or by executing a separately signed agreement that references or incorporates these Terms, you (i) acknowledge that you have read, understood, and agree to be bound by these Terms; (ii) represent and warrant that you have the legal capacity and authority to enter into these Terms (and, where applicable, to bind the entity on whose behalf you are acting); and (iii) agree to be bound by our Privacy Policy at https://springform.app/privacy (the “Privacy Policy”), which is incorporated into these Terms by this reference. If you do not agree to these Terms, you may not access or use the Service.

1. Acceptance and Eligibility

1.1 Capacity and Authority. You represent and warrant that you are at least eighteen (18) years of age and have the legal capacity to enter into binding contracts under the laws of your jurisdiction. If you are accessing or using the Service on behalf of a company, organization, governmental authority, or other legal entity, you further represent and warrant that you have full power and authority to bind that entity to these Terms, and references to “you” in these Terms include such entity.

1.2 Submitters Aged 16 and Older. A user between the ages of sixteen (16) and eighteen (18) may use the Service solely in the capacity of a “Submitter” — that is, to respond to a form or submission hosted on the Service by another user — and only with the prior consent of a parent, legal guardian, or the organization administering the relevant program. By using the Service as a Submitter, you represent and warrant that any such required consent has been validly obtained. The Service is not directed to, and Springform does not knowingly collect Personal Information (as defined in the Privacy Policy) from, any individual under thirteen (13) years of age.

1.3 Customer Responsibility for Minors and Submitters. If you use the Service to collect submissions, applications, or other content from third parties (each, a “Customer” use of the Service, and each such third party, a “Submitter”), you are solely responsible for (a) verifying the eligibility (including age) of each Submitter; (b) obtaining all consents (including, where applicable, verifiable parental consent under the Children's Online Privacy Protection Act of 1998, as amended (“COPPA”), or applicable consent under the EU General Data Protection Regulation (the “GDPR”) or any successor or analogous law); (c) providing all notices and disclosures required by applicable law to your Submitters; and (d) maintaining records sufficient to demonstrate compliance with the foregoing.

1.4 Sanctions and Export Controls. You represent and warrant that (a) you are not located in, organized under the laws of, or ordinarily resident in any country or territory that is the subject of comprehensive sanctions or embargoes administered by the United States, the United Kingdom, the European Union, or the United Nations; (b) you are not identified on the U.S. Department of the Treasury's Office of Foreign Assets Control list of Specially Designated Nationals and Blocked Persons, the U.S. Department of Commerce's Entity List or Denied Persons List, or any analogous restricted-party list; and (c) you will not access or use the Service for any purpose, or in any manner, prohibited by applicable export-control, sanctions, anti-corruption, anti-money-laundering, or anti-bribery laws and regulations.

2. The Service

2.1 Description. Springform provides a cloud-based software platform for individuals and organizations, together with such related features, integrations, and services as Springform may make available from time to time. Springform may, in its sole discretion, modify, add to, suspend, deprecate, or discontinue any portion of the Service at any time. Where a material change adversely affects a paid feature of the Service on which you actively rely, Springform will use commercially reasonable efforts to provide you with reasonable advance notice and, where appropriate, a reasonable migration path.

2.2 License to Access. Subject to your continued compliance with these Terms and to the timely payment of all applicable Fees (defined below), Springform hereby grants you, during the applicable Term (defined below), a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your own internal business or personal purposes. All rights, title, and interest in and to the Service, including all software, source code, object code, design, layout, structure, sequence, organization, user interfaces, look and feel, content (other than Customer Content as defined below), trademarks, service marks, logos, trade dress, documentation, and other materials provided by or on behalf of Springform (collectively, the “Springform Materials”), and all copyrights, patents, patent applications, trademarks, service marks, trade names, trade dress, trade secrets, know-how, moral rights, database rights, and any other intellectual property or proprietary rights of any kind in any jurisdiction (collectively, “Intellectual Property Rights”) therein, are and shall remain the sole and exclusive property of Springform (and its licensors, as applicable). All rights not expressly granted to you in these Terms are reserved by Springform.

2.3 Accounts. Access to most features of the Service requires registration and maintenance of an account (an “Account”). You agree to (a) provide accurate, current, and complete information when creating your Account; (b) maintain and promptly update your Account information; (c) maintain the confidentiality of your Account credentials and not share them with, or otherwise permit access by, any unauthorized person; (d) be solely responsible for all activities that occur under your Account, whether or not authorized by you; and (e) notify Springform promptly at hello@springform.app of any actual or suspected unauthorized access to, or use of, your Account or any other breach of security. Springform shall not be liable for any loss or damage arising from your failure to comply with this Section 2.3.

2.4 Roles and Workspace Administration. The Service includes workspace-level roles (which may include, by way of example only and without limitation, Owner, Admin, and Member) and project-level roles (which may include, by way of example only and without limitation, Admin, Member, Submitter, and Reviewer). The workspace Owner controls the workspace, including the ability to grant, modify, and revoke access by other users; configure settings; manage billing; and manage Customer Content. As between the workspace Owner and other users of that workspace, the workspace Owner retains all rights with respect to the workspace and is solely responsible for the activities of its authorized users.

2.5 Third-Party Services. The Service may interoperate with, link to, or otherwise rely on services, software, websites, networks, or content owned, operated, or controlled by third parties (each, a “Third-Party Service”), including, without limitation, single sign-on providers, payment processors, AI providers, transcription providers, hosting and infrastructure providers, error-monitoring providers, and email delivery providers. Springform does not control, endorse, sponsor, or assume any responsibility for any Third-Party Service. Your access to and use of any Third-Party Service is governed by the applicable third party's own terms and privacy policy, and Springform shall have no liability arising out of or relating to any Third-Party Service. Springform may, at any time and without notice, modify or discontinue the integration of any Third-Party Service with the Service.

2.6 Beta and Preview Features. From time to time, Springform may make available features, products, or services that are designated as “alpha,” “beta,” “preview,” “early access,” “experimental,” or by similar designation, or that are otherwise identified as not generally available (collectively, “Beta Features”). Beta Features are provided “AS IS” and “AS AVAILABLE,” may be modified or discontinued at any time without notice, may contain bugs, errors, or vulnerabilities, are not subject to any service-level commitment, and are not subject to the warranties (if any) otherwise applicable to the Service. Springform makes no representation that any Beta Feature will be made generally available or will continue to be offered for any period of time. Your use of any Beta Feature is at your sole risk.

2.7 Separately Signed Agreements. If you and Springform are parties to a separately signed written agreement governing your use of the Service (for example, a Master Services Agreement, Order Form, Statement of Work, Data Processing Addendum, or Business Associate Agreement, each a “Separate Agreement”), the Separate Agreement shall control with respect to its subject matter to the extent of any inconsistency with these Terms.

3. Subscriptions, Fees, and Cancellation

3.1 Plans. Springform offers free subscription plans (each, a “Free Plan”) and paid subscription plans (each, a “Paid Plan,” and together with Free Plans, the “Plans”). The features, usage limits, and prices applicable to each Plan are described at springform.app/pricing or in an applicable order form and may be modified by Springform from time to time. A change in price will not apply retroactively to the then-current billing period of an existing Paid Plan and will take effect upon the next renewal of that Paid Plan.

3.2 Fees and Billing. In consideration of access to a Paid Plan, you shall pay all fees, charges, and other amounts (collectively, “Fees”) set forth in the applicable Plan or order form, in U.S. dollars, in advance, and in accordance with the billing cycle you have selected (monthly or annual). Fees are processed by our third-party payment processor (“Payment Processor”), and your provision of payment information is subject to the Payment Processor's terms. By providing payment information to Springform or the Payment Processor, you (a) represent and warrant that you are authorized to use the payment method and that the information you provide is true, accurate, and complete; and (b) authorize Springform and the Payment Processor to charge that payment method (and any successor or replacement payment method you provide) for all Fees as they become due, plus any applicable Taxes (defined below). Except as expressly stated in these Terms or as required by applicable law, all Fees are non-refundable, and Springform shall have no obligation to provide refunds, credits, or proration for partial billing periods, downgrades, account terminations for cause, or unused features or capacity.

3.3 Automatic Renewal. EACH PAID PLAN SHALL AUTOMATICALLY RENEW FOR SUCCESSIVE PERIODS OF THE SAME DURATION (EACH, A “RENEWAL TERM”) AT THE THEN-CURRENT PRICE UNLESS YOU CANCEL THE PAID PLAN BEFORE THE END OF THE THEN-CURRENT BILLING PERIOD THROUGH YOUR ACCOUNT SETTINGS. BY SELECTING A PAID PLAN, YOU AUTHORIZE SPRINGFORM (AND THE PAYMENT PROCESSOR ON ITS BEHALF) TO CHARGE YOUR PAYMENT METHOD ON FILE FOR THE APPLICABLE RENEWAL FEES AT THE START OF EACH RENEWAL TERM. WHERE REQUIRED BY APPLICABLE LAW (INCLUDING THE CALIFORNIA AUTOMATIC RENEWAL LAW AND ANALOGOUS LAWS OF OTHER JURISDICTIONS), SPRINGFORM WILL PROVIDE YOU WITH ADVANCE NOTICE PRIOR TO AN ANNUAL RENEWAL.

3.4 Cancellation. You may cancel a Paid Plan at any time through your Account settings. Cancellation will take effect at the end of the then-current billing period, and you will retain access to the corresponding Paid Plan features through that date. Springform does not provide refunds, credits, or proration for any unused portion of a billing period upon cancellation, except as expressly required by applicable law.

3.5 Free Plans and Trials. FREE PLANS AND TRIAL FEATURES ARE PROVIDED AS A COURTESY, “AS IS” AND “AS AVAILABLE,” AND MAY BE MODIFIED, SUSPENDED, OR DISCONTINUED BY SPRINGFORM AT ANY TIME, WITH OR WITHOUT NOTICE. ANY CUSTOMER CONTENT, ACCOUNT CONFIGURATION, OR OTHER DATA ASSOCIATED WITH A FREE PLAN OR TRIAL MAY BE PERMANENTLY LOST UNLESS YOU UPGRADE TO A PAID PLAN OR EXPORT YOUR DATA BEFORE THE END OF THE APPLICABLE FREE PLAN OR TRIAL PERIOD. SPRINGFORM SHALL HAVE NO WARRANTY, INDEMNITY, SUPPORT, SERVICE-LEVEL, OR OTHER OBLIGATION WITH RESPECT TO ANY FREE PLAN OR TRIAL, EXCEPT AS REQUIRED BY APPLICABLE LAW.

3.6 Taxes. All Fees are exclusive of any and all sales, use, value-added, goods-and-services, excise, withholding, gross-receipts, or similar taxes, levies, or duties, however denominated, other than taxes imposed on Springform's net income (collectively, “Taxes”). You are responsible for paying all Taxes associated with your purchase of, or access to, the Service. If Springform is required to collect or remit any Taxes for which you are responsible under this Section, those Taxes will be invoiced to and paid by you. If you claim an exemption from any Tax, you shall promptly provide Springform with a valid exemption certificate or other documentation satisfactory to the relevant taxing authority. If applicable law requires you to withhold any amount from any payment to Springform, you shall gross-up the payment so that, after such withholding, Springform receives the full amount it would have received in the absence of withholding.

3.7 Late Payment; Suspension. Without limiting any other right or remedy available to Springform, if any undisputed Fees remain unpaid for more than fifteen (15) days after the original due date, Springform may, in its sole discretion: (a) charge interest on the past-due amount at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated from the original due date through the date of payment; (b) suspend access to all or any portion of the Service until payment is made in full; and (c) recover all costs of collection, including reasonable attorneys' fees and court costs.

4. Customer Content; Licenses; Submitter Content

4.1 Customer Content. “Customer Content” means any content, data, materials, information, or other works that you (or any user of your Account, or any Submitter through any submission form, evaluation criteria, or other feature you administer) submit, upload, transmit, create, store, or otherwise make available on or through the Service, including, without limitation, forms and form responses, evaluations and evaluation responses, pitches, written text, files, images, video and audio recordings, transcripts and transcription metadata, comments, ratings, and any other content of any kind.

4.2 Ownership. As between you and Springform, you (or, with respect to a Submitter's input, the Submitter, in each case subject to the rights of the applicable Customer with respect to Submitter Content as set forth below) own and retain all right, title, and interest in and to Customer Content, including all Intellectual Property Rights therein. Nothing in these Terms shall be construed to transfer any ownership interest in Customer Content to Springform.

4.3 License Grant to Springform. You hereby grant to Springform a worldwide, non-exclusive, royalty-free, fully paid-up license, with the right to sublicense to Springform's service providers and subprocessors solely for the purposes set forth in this Section 4.3, to host, store, cache, copy, process, transmit, display, distribute (to the recipients you designate within the Service), modify (only to the extent necessary to render, format, or convert Customer Content for use in the Service), and create derivative works of (only to the extent necessary to operate the Service, including without limitation to generate transcripts, summaries, previews, and indexes) Customer Content, in each case solely as necessary to (a) provide, operate, secure, maintain, and improve the Service for you and your authorized users; (b) prevent, detect, investigate, or address fraud, abuse, security incidents, or violations of these Terms; and (c) comply with applicable law, legal process, or governmental request. The license granted in this Section 4.3 shall be co-extensive with the period during which the Customer Content is hosted on the Service, except to the extent that (i) routine backups, archives, or audit logs continue to contain copies that are deleted in the ordinary course on the applicable retention cycle, or (ii) retention is required by applicable law, legal process, or to enforce these Terms. Springform shall not use Customer Content for any other purpose.

4.4 Submitter Content; Controller-Processor Relationship. When you, as a Customer, use the Service to collect submissions, applications, or other content from Submitters, the content provided by such Submitters constitutes a category of Customer Content (such content, “Submitter Content”). As between the parties, you are the entity that determines the purposes and means of processing of Personal Information contained in Submitter Content; accordingly, where applicable terminology applies, you are the “data controller” or the “business,” and Springform processes Submitter Content as your “data processor” or “service provider.” You represent and warrant that you have provided, and will continue to provide, all required notices to your Submitters, and have obtained, and will continue to obtain, all consents, authorizations, and other legal bases required by applicable law (including, where applicable, COPPA, the GDPR, the California Consumer Privacy Act of 2018, as amended (the “CCPA”), and any other applicable privacy or data-protection law) for (a) the collection of Submitter Content through the Service; (b) the processing of Submitter Content by Springform as contemplated by these Terms and the Privacy Policy; and (c) the transfer of Submitter Content to, and storage of Submitter Content in, the locations where Springform and its subprocessors process Submitter Content. You shall be solely responsible for, and shall defend, indemnify, and hold harmless Springform against, any third-party claim arising out of or relating to your failure to comply with this Section 4.4.

4.5 Public Content. Certain features of the Service permit you to make Customer Content publicly accessible — for example, by listing it in a public area of the Service or by sharing it via a publicly accessible link. By choosing to make any Customer Content publicly accessible, you (a) acknowledge and agree that such Customer Content may be viewed, accessed, copied, downloaded, indexed by search engines, archived, or further shared by others; (b) grant Springform an additional right to display, distribute, and make available such publicly accessible Customer Content as necessary to operate the corresponding public features of the Service; and (c) acknowledge and agree that Springform shall have no responsibility for, and no liability arising out of, any unauthorized use or further distribution of such Customer Content by any recipient or third party.

4.6 Representations and Warranties Regarding Customer Content. You represent and warrant that, with respect to all Customer Content you submit or make available through the Service: (a) you own, or have obtained from all applicable rightsholders, all rights, licenses, consents, releases, permissions, and authorizations necessary to grant the rights granted to Springform under these Terms, and to permit the use of such Customer Content as contemplated by these Terms; (b) the Customer Content, and Springform's use of the Customer Content as permitted by these Terms, does not and will not infringe, misappropriate, or violate any Intellectual Property Right, privacy right, publicity right, contract right, or other right of any third party, or violate any applicable law, rule, or regulation; (c) the Customer Content does not contain material that is defamatory, obscene, harassing, hateful, or otherwise objectionable, or that violates Section 6; and (d) the Customer Content is and shall remain accurate to your knowledge in all material respects.

4.7 No Obligation to Monitor; Right to Remove; Repeat Infringers. Springform has no obligation to monitor, screen, review, or moderate Customer Content. However, Springform reserves the right (without obligation), at any time and in its sole discretion, to (a) review, refuse to publish, edit, or remove any Customer Content that Springform reasonably believes (i) violates these Terms or any applicable law, (ii) infringes any Intellectual Property Right or other right of any person, or (iii) is otherwise objectionable; (b) suspend or terminate the Account of any user who Springform reasonably believes is a repeat infringer of Intellectual Property Rights; and (c) cooperate with law-enforcement authorities or other parties in connection with any such investigation or action. Springform shall have no liability arising out of or relating to the exercise, or non-exercise, of the foregoing rights.

4.8 Feedback. If you provide Springform with any suggestions, ideas, enhancement requests, recommendations, criticisms, or other feedback regarding the Service or Springform's business (collectively, “Feedback”), you hereby grant to Springform a worldwide, perpetual, irrevocable, sublicensable, royalty-free, fully paid-up license to use, reproduce, modify, prepare derivative works of, publicly perform, publicly display, distribute, and otherwise commercialize the Feedback for any purpose, without obligation, attribution, or compensation to you. Feedback is provided on a non-confidential and non-proprietary basis, and is separate and distinct from Customer Content.

5. Springform AI

5.1 AI Features. The Service includes generative-artificial-intelligence and machine-learning features (the “AI Features”) that produce outputs, including without limitation text, summaries, classifications, extractions, structured data, transcriptions, and other content (collectively, “AI Outputs”), based on inputs and instructions you provide and on Customer Content accessible to the AI Features. The AI Features are delivered by Springform together with third-party AI providers. The identities, processing roles, and locations of Springform's AI providers and other subprocessors are described at https://springform.app/subprocessors.

5.2 No Training on Customer Content. Springform shall not use Customer Content to develop, improve, or train generalized artificial-intelligence or machine-learning models. Springform's AI providers do not use inputs to, or AI Outputs from, the Service to develop, improve, or train their respective generalized models. The commitments in this Section 5.2 are subject to Springform's right to use de-identified, aggregated technical metadata about Service usage (which does not identify you, any user, or any Customer Content) to operate, secure, evaluate, and improve the Service.

5.3 AI Disclaimer. THE AI FEATURES AND AI OUTPUTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. SPRINGFORM AND ITS LICENSORS AND AI PROVIDERS MAKE NO REPRESENTATION OR WARRANTY, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, AS TO THE ACCURACY, RELIABILITY, COMPLETENESS, CURRENCY, TIMELINESS, ORIGINALITY, NON-INFRINGEMENT, SUITABILITY, OR FITNESS FOR ANY PARTICULAR PURPOSE OF ANY AI OUTPUT. AI OUTPUTS MAY BE INACCURATE, INCOMPLETE, OUT OF DATE, MISLEADING, BIASED, OFFENSIVE, OR OTHERWISE OBJECTIONABLE, EVEN WHEN THEY APPEAR DETAILED, CONFIDENT, OR SPECIFIC. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, VALIDATING, AND EVALUATING AI OUTPUTS BEFORE RELYING ON THEM, AND YOU MUST NOT RELY ON AI OUTPUTS AS A SUBSTITUTE FOR PROFESSIONAL ADVICE (INCLUDING WITHOUT LIMITATION LEGAL, FINANCIAL, MEDICAL, TAX, OR ACCOUNTING ADVICE) OR AS A SUBSTITUTE FOR HUMAN REVIEW WHERE THE UNDERLYING DECISION HAS LEGAL, FINANCIAL, SAFETY, EMPLOYMENT, ADMISSIONS, EVALUATION, OR OTHER MATERIAL CONSEQUENCES FOR ANY PERSON. NO ORAL OR WRITTEN INFORMATION OR ADVICE OBTAINED FROM SPRINGFORM OR THROUGH THE AI FEATURES SHALL CREATE ANY WARRANTY NOT EXPRESSLY SET FORTH IN THESE TERMS.

5.4 Disclosure; Identification of AI-Generated Content. When you interact with the AI Features, you are interacting with software, not a natural person. AI-generated content (including AI Outputs and AI-produced transcriptions) may be identified as such within the Service. You shall not represent any AI Output as having been generated by a human where such representation would be deceptive, misleading, or unlawful, and you shall not remove, obscure, or alter any indicator of AI-generated content.

5.5 Web Search and File Inputs. The AI Features may, at your direction, retrieve content from the open web or process files (including documents and images) that you upload. Such third-party content is provided to the AI Features as reference material and is not endorsed, verified, or independently fact-checked by Springform. Springform treats web-retrieved and file-derived content as untrusted reference input. You are responsible for ensuring that your use of any web-retrieved or file-derived content complies with the rights of the applicable rightsholder, with the terms of service of the source website or system, and with all applicable laws.

5.6 Acceptable Use of AI Features. Without limiting Section 6, you shall not use the AI Features to generate, attempt to generate, or facilitate the generation of any content that (a) infringes, misappropriates, or violates any Intellectual Property Right, privacy right, or publicity right of any third party; (b) depicts, exploits, or sexualizes a minor, or that constitutes child sexual abuse material; (c) impersonates a real person (including by means of deepfake audio, video, or imagery) without that person's verifiable consent; (d) is intended to deceive, defraud, or mislead in a manner that is unlawful or that violates the rights of any person; (e) generates malware, exploits, or other materials used to compromise the security of any system; or (f) otherwise violates these Terms or any applicable law.

6. Acceptable Use

6.1 General. You may access and use the Service only for lawful purposes and in accordance with these Terms. Without limiting the generality of the foregoing, you shall not, and shall not permit any user of your Account or any Submitter to:

(a) violate any applicable local, state, national, or international law, statute, ordinance, regulation, rule, or order, or any judgment, decree, or injunction of any court or governmental authority;

(b) infringe, misappropriate, or violate any third party's Intellectual Property Rights, contractual rights, privacy rights, publicity rights, or other proprietary or moral rights;

(c) upload, post, transmit, or otherwise make available any content that is unlawful, harmful, harassing, threatening, intimidating, defamatory, libelous, obscene, pornographic, vulgar, hateful, racist, ethnically or religiously offensive, discriminatory, or that incites or promotes violence, self-harm, or terrorism;

(d) upload, post, transmit, or otherwise make available any content that depicts, exploits, or sexualizes a minor, or that constitutes child sexual abuse material;

(e) impersonate Springform, a Springform employee, another user, or any other person or entity, or misrepresent your affiliation with, or authority on behalf of, any of the foregoing;

(f) use the Service to send unsolicited commercial communications (including “spam”), to phish, pharm, or “social engineer” any person, or to engage in fraud, deception, or other unlawful business practices;

(g) attempt to interfere with, disrupt, degrade, or compromise the integrity, security, or performance of the Service, including by introducing malware, viruses, trojans, worms, ransomware, or other malicious code; by overloading, “flooding,” or otherwise stressing any portion of the Service; or by probing, scanning, or testing the vulnerability of the Service except pursuant to a coordinated vulnerability disclosure program expressly authorized by Springform in writing;

(h) attempt to gain or gain unauthorized access to the Service, to any Account other than your own, to any administrative interface or non-public endpoint, or to any system or network connected to or supporting the Service;

(i) reverse engineer, decompile, disassemble, or otherwise attempt to derive or discover the source code, underlying ideas, file formats, algorithms, models, model parameters, or trade secrets of the Service, except, and solely to the extent, expressly permitted by applicable law notwithstanding this restriction;

(j) use the Service, or any data, output, or content obtained from the Service, to design, develop, train, evaluate, or improve any product, service, or model that competes with the Service, or to copy any feature, function, user interface, design element, model behavior, or graphic of the Service;

(k) sell, resell, rent, lease, sublicense, distribute, syndicate, or otherwise commercially exploit the Service or any portion thereof, except as expressly authorized by Springform in writing;

(l) use any robot, spider, scraper, crawler, headless browser, or other automated means to access, retrieve, scrape, index, or harvest the Service or any data therein, except through interfaces (including, where applicable, authorized application programming interfaces) that Springform provides for that purpose and in accordance with their documentation, authentication requirements, and rate limits;

(m) remove, obscure, alter, or circumvent any proprietary notice, copyright notice, trademark, watermark, or other identifier of source on or in the Service;

(n) frame, mirror, deep-link, or otherwise display the Service on a third-party site or product in a manner that suggests sponsorship, affiliation, or endorsement by Springform or that is reasonably likely to confuse users as to the source of the Service;

(o) use contact information obtained through the Service for unsolicited communications, list-building, lead generation, or data harvesting, or in any manner that violates the U.S. CAN-SPAM Act, the Telephone Consumer Protection Act, the GDPR, the CCPA, or any other applicable law;

(p) use the Service in violation of any applicable export-control, sanctions, anti-corruption, anti-money-laundering, or anti-bribery law or regulation;

(q) submit to, store on, or process through the Service any “Sensitive Personal Information” (including without limitation Social Security numbers, taxpayer identification numbers, passport numbers, driver's license numbers, government-issued identifiers, full payment-card numbers other than those processed by the Payment Processor through its interfaces, financial account numbers, biometric identifiers, precise geolocation, or information about a person's health, racial or ethnic origin, religious or philosophical beliefs, sexual orientation, sexual life, immigration status, or trade-union membership) except where the Service expressly supports such category of data and you have obtained all consents required by applicable law;

(r) submit to, store on, or process through the Service any “Protected Health Information” as defined under the U.S. Health Insurance Portability and Accountability Act of 1996, as amended (“HIPAA”), as Springform is not a “covered entity” or “business associate” within the meaning of HIPAA and the Service is not designed for, and is not certified for, the processing of Protected Health Information;

(s) use the Service to develop, design, produce, or facilitate the use of weapons (including chemical, biological, radiological, or nuclear weapons), or in connection with critical infrastructure operations except where such use is permitted by applicable law and by Springform in writing; or

(t) take any other action that, in Springform's reasonable judgment, is inconsistent with the safe, secure, lawful, or contractually compliant operation of the Service.

6.2 Investigation and Cooperation with Law Enforcement. SPRINGFORM RESERVES THE RIGHT (WITHOUT OBLIGATION), AT ANY TIME AND IN ITS SOLE DISCRETION, TO INVESTIGATE ANY SUSPECTED VIOLATION OF THESE TERMS OR OF APPLICABLE LAW, TO ACCESS AND REVIEW CUSTOMER CONTENT AS REASONABLY NECESSARY FOR SUCH INVESTIGATION, TO DISCLOSE INFORMATION TO LAW-ENFORCEMENT AUTHORITIES, REGULATORS, OR OTHER GOVERNMENTAL AUTHORITIES AS SPRINGFORM REASONABLY BELIEVES IS NECESSARY OR APPROPRIATE TO COMPLY WITH APPLICABLE LAW OR TO PROTECT THE RIGHTS, PROPERTY, OR SAFETY OF SPRINGFORM, ITS USERS, OR ANY THIRD PARTY, AND TO TAKE ANY OTHER ACTION SPRINGFORM DEEMS APPROPRIATE, INCLUDING SUSPENDING OR TERMINATING AN ACCOUNT, REMOVING CUSTOMER CONTENT, OR REFERRING A MATTER TO LAW ENFORCEMENT. YOU WAIVE AND HOLD HARMLESS SPRINGFORM AND THE SPRINGFORM PARTIES (DEFINED BELOW) FROM ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO ANY SUCH INVESTIGATION, DISCLOSURE, OR ACTION.

7. Privacy; Data Processing; Security

7.1 Privacy Policy. Springform's collection, use, retention, disclosure, and other processing of Personal Information in connection with the Service are described in the Privacy Policy at https://springform.app/privacy, which is incorporated into these Terms by this reference. By accessing or using the Service, you acknowledge that you have read the Privacy Policy.

7.2 Data Processing Addendum. For business and enterprise customers whose use of the Service involves the processing of Personal Information that is subject to the GDPR, the United Kingdom General Data Protection Regulation (the “UK GDPR”), the CCPA, or other applicable data-protection law, Springform will, upon reasonable written request to hello@springform.app, provide a data processing addendum (the “DPA”) incorporating, where applicable, the European Commission's Standard Contractual Clauses (Decision 2021/914), the UK International Data Transfer Addendum, and a Swiss addendum. Upon execution by the parties, the DPA shall govern Springform's processing of Personal Information of Submitters and authorized users to the extent such processing is subject to such law.

7.3 Security. Springform shall implement and maintain commercially reasonable administrative, technical, and physical safeguards designed to protect Customer Content against unauthorized access, disclosure, alteration, or destruction. You acknowledge, however, that no system can be guaranteed to be one hundred percent (100%) secure, that the transmission of information via the internet is not completely secure, and that you transmit Customer Content to and through the Service at your own risk. Springform does not warrant that the Service is or will remain secure, and, to the maximum extent permitted by applicable law, Springform disclaims all liability arising out of any unauthorized access to, disclosure of, or alteration or destruction of Customer Content, except to the extent caused by Springform's gross negligence or willful misconduct.

8. Disclaimers; Limitation of Liability

8.1 Disclaimer of Warranties. THE SERVICE (INCLUDING WITHOUT LIMITATION THE AI FEATURES, AI OUTPUTS, SPRINGFORM MATERIALS, BETA FEATURES, AND ANY THIRD-PARTY SERVICE MADE AVAILABLE THROUGH THE SERVICE) IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS AND DEFECTS, AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SPRINGFORM AND ITS AFFILIATES, LICENSORS, AI PROVIDERS, AND OTHER SERVICE PROVIDERS HEREBY DISCLAIM ALL REPRESENTATIONS, WARRANTIES, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ALL IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY OF DATA, SYSTEM INTEGRATION, QUIET ENJOYMENT, ABSENCE OF VIRUSES OR HARMFUL COMPONENTS, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE. WITHOUT LIMITING THE FOREGOING, SPRINGFORM DOES NOT WARRANT THAT (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, ERROR-FREE, OR FREE FROM SECURITY VULNERABILITIES; (B) ANY DEFECT OR ERROR IN THE SERVICE WILL BE CORRECTED; (C) THE SERVICE, OR ANY AI OUTPUT OR TRANSCRIPTION, WILL BE ACCURATE, RELIABLE, COMPLETE, OR FIT FOR YOUR PURPOSES; (D) THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; OR (E) THE SERVICE WILL BE COMPATIBLE WITH ANY THIRD-PARTY SOFTWARE, SYSTEM, OR SERVICE. THE FOREGOING DISCLAIMERS APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW AND SHALL NOT EXCLUDE OR LIMIT ANY WARRANTY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

8.2 Exclusion of Indirect Damages. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SPRINGFORM OR ITS AFFILIATES, LICENSORS, AI PROVIDERS, OTHER SERVICE PROVIDERS, OR THE RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, OR REPRESENTATIVES OF ANY OF THE FOREGOING (COLLECTIVELY, THE “SPRINGFORM PARTIES”) BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY (A) INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES; OR (B) LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOST BUSINESS, LOSS OF GOODWILL, LOSS OF USE, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR LOSS, CORRUPTION, ALTERATION, OR INACCURACY OF DATA, IN EACH CASE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER UNDER CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER THEORY OF LIABILITY, AND WHETHER OR NOT THE SPRINGFORM PARTIES HAVE BEEN ADVISED OF, OR SHOULD HAVE KNOWN OF, THE POSSIBILITY OF SUCH DAMAGES.

8.3 Cap on Liability. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF THE SPRINGFORM PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE (WHETHER UNDER CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER THEORY OF LIABILITY) SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO SPRINGFORM FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. MULTIPLE CLAIMS SHALL NOT ENLARGE THIS LIMIT. THE EXISTENCE OF MORE THAN ONE CLAIM SHALL NOT ENLARGE OR EXTEND THIS LIMIT. THIS SECTION 8.3 SHALL NOT BE CONSTRUED TO LIMIT (I) YOUR PAYMENT OBLIGATIONS UNDER SECTION 3, (II) YOUR INDEMNIFICATION OBLIGATIONS UNDER SECTION 9, OR (III) ANY LIABILITY THAT MAY NOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.

8.4 Basis of the Bargain. You acknowledge and agree that (a) the disclaimers, exclusions, and limitations set forth in this Section 8 reflect a reasonable and fair allocation of risk between you and Springform; (b) the Fees (if any) charged for the Service, and Springform's willingness to offer Free Plans and trials, reflect this allocation of risk; (c) Springform would not enter into these Terms without such allocation of risk; and (d) the limitations in this Section 8 shall apply notwithstanding the failure of essential purpose of any limited remedy. Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages; in such jurisdictions, the foregoing exclusions and limitations shall apply only to the maximum extent permitted by applicable law.

9. Indemnification

9.1 Your Indemnification of the Springform Parties. You shall defend, indemnify, and hold harmless the Springform Parties from and against any and all third-party claims, suits, actions, proceedings, demands, losses, damages, liabilities, judgments, settlements, awards, fines, penalties, costs, and expenses (including without limitation reasonable attorneys' fees and other costs of investigation and defense) (collectively, “Losses”) arising out of or relating to: (a) your Customer Content, including without limitation any allegation that your Customer Content, or Springform's use thereof in accordance with these Terms, infringes, misappropriates, or violates a third party's Intellectual Property Rights, privacy rights, publicity rights, or other rights; (b) your access to or use of the Service in violation of these Terms or in violation of any applicable law; (c) your breach of any representation, warranty, or covenant in these Terms, including without limitation those in Section 1.3 (Customer Responsibility for Minors and Submitters), Section 1.4 (Sanctions and Export Controls), Section 4 (Customer Content), and Section 6 (Acceptable Use); (d) your gross negligence, willful misconduct, or fraud; (e) any dispute between you and any other user of the Service, any Submitter, or any third party arising from your use of the Service; or (f) your violation of any applicable privacy or data-protection law in connection with your collection of Submitter Content.

9.2 Indemnification Procedure. As a condition of your indemnification obligations under Section 9.1, the applicable Springform Party shall (a) promptly notify you in writing of the claim (provided that the failure to give prompt notice shall not relieve you of your indemnification obligations except to the extent you are materially prejudiced by such failure); (b) give you sole control of the defense and settlement of the claim, provided that (i) you may not settle any claim that imposes any liability or obligation on the Springform Party (including an admission of fault or wrongdoing or any non-monetary relief) without the Springform Party's prior written consent, which shall not be unreasonably withheld; and (ii) the Springform Party may, at its own expense and with counsel of its own choosing, participate in (but not control) the defense of any claim; and (c) at your reasonable cost, provide reasonable cooperation in the defense of the claim, including the production of documents and the availability of witnesses.

10. Term; Termination; Dispute Resolution; General

10.1 Term. These Terms shall commence on the earlier of the date you first access or use the Service and the date you first accept these Terms (the “Effective Date”) and shall continue in effect until terminated as provided herein (the “Term”).

10.2 Termination by You. You may terminate these Terms at any time by ceasing all use of the Service and closing your Account through your Account settings. Upon deletion of your Account, all Customer Content associated with that Account will immediately become inaccessible to you, and Springform may, in its sole discretion, delete the Customer Content from its production systems (provided that copies that exist in routine backups or audit logs will be deleted in the ordinary course on the applicable retention cycle). Termination by you shall not relieve you of your obligation to pay any Fees accrued prior to the effective date of termination.

10.3 Termination or Suspension by Springform. Springform may, at any time and in its sole discretion, suspend, restrict, or terminate your access to all or any portion of the Service, deactivate or delete your Account, and discontinue all or any feature of the Service, in each case immediately and without prior notice or liability to you, for any reason or for no reason, including without limitation (a) any actual or suspected breach of these Terms, (b) any conduct that Springform reasonably believes poses a security, legal, regulatory, or operational risk to Springform, its users, or any third party, or (c) the discontinuance of the Service. Springform shall have no obligation to provide any refund, credit, or proration of Fees in connection with any such suspension, termination, deactivation, deletion, or discontinuance.

10.4 Effect of Termination. Upon any termination or expiration of these Terms: (a) all rights and licenses granted to you under these Terms shall immediately terminate; (b) you shall promptly cease all access to and use of the Service and the Springform Materials; (c) Springform may, in its discretion, deactivate or delete your Account and any associated Customer Content; and (d) any Fees and other amounts owed by you to Springform as of the effective date of termination shall remain due and payable in accordance with their original payment terms.

10.5 Survival. The following provisions shall survive any termination or expiration of these Terms, together with any other provisions which by their nature are intended to survive: Section 2.2 (Reservation of Rights and ownership), Section 3 (with respect to Fees accrued prior to termination), Section 4 (Customer Content; Licenses; Submitter Content), Section 4.8 (Feedback), Section 5.2 (No Training on Customer Content), Section 5.3 (AI Disclaimer), Section 6 (Acceptable Use), Section 7 (Privacy; Data Processing; Security), Section 8 (Disclaimers; Limitation of Liability), Section 9 (Indemnification), Section 10 (Term; Termination; Dispute Resolution; General), the Privacy Policy, and any other provision of these Terms that, by its nature, contemplates performance or observance after termination.

10.6 Governing Law. These Terms, and any dispute, claim, or controversy of any nature arising out of or relating to these Terms or the Service (whether sounding in contract, tort, statute, common law, or otherwise), shall be governed by, and construed and enforced in accordance with, the laws of the State of New York, without giving effect to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods, and the Uniform Computer Information Transactions Act, shall not apply to these Terms.

10.7 Exclusive Forum; Personal Jurisdiction. Subject to Sections 10.8 and 10.9, you and Springform irrevocably agree that any action, suit, or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in New York County, New York, and you and Springform each (a) submit to the personal and exclusive jurisdiction of such courts, (b) waive any objection based on improper venue, lack of personal jurisdiction, or forum non conveniens, and (c) consent to service of process by any method permitted by applicable law, including by overnight courier or by email to the notice address set forth in Section 10.15. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent or restrain the actual or threatened infringement, misappropriation, or violation of such party's Intellectual Property Rights or Confidential Information.

10.8 Waiver of Jury Trial. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EACH OF YOU AND SPRINGFORM HEREBY IRREVOCABLY AND UNCONDITIONALLY WAIVES ANY RIGHT SUCH PARTY MAY HAVE TO A TRIAL BY JURY IN ANY ACTION, SUIT, OR PROCEEDING (WHETHER BASED IN CONTRACT, TORT, STATUTE, OR OTHERWISE) ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICE, OR THE RELATIONSHIP BETWEEN THE PARTIES.

10.9 Class Action Waiver. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EACH OF YOU AND SPRINGFORM HEREBY IRREVOCABLY AND UNCONDITIONALLY WAIVES ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY-GENERAL ACTION AGAINST THE OTHER, AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE MAY ONLY BE BROUGHT IN AN INDIVIDUAL CAPACITY. NEITHER PARTY MAY ACT AS A CLASS REPRESENTATIVE, CONSOLIDATE CLAIMS WITH THE CLAIMS OF ANY OTHER PERSON, OR PARTICIPATE AS A MEMBER OF A CLASS IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE. IF THIS SECTION 10.9 IS HELD TO BE UNENFORCEABLE WITH RESPECT TO ANY PARTICULAR CLAIM OR REMEDY, THE PORTION HELD UNENFORCEABLE SHALL BE SEVERED AND THE REMAINDER OF THESE TERMS SHALL CONTINUE IN FULL FORCE AND EFFECT.

10.10 Limitation Period. Except for actions to enforce a party's Intellectual Property Rights or to seek injunctive or other equitable relief, any cause of action or claim arising out of or relating to these Terms or the Service must be commenced within one (1) year after the cause of action accrues, or be permanently barred, to the maximum extent permitted by applicable law.

10.11 Changes to These Terms. Springform may modify these Terms from time to time. If Springform makes a material change, Springform shall provide notice — by email to the email address associated with your Account, by an in-Service notification, or by posting the updated Terms on this page with a revised “Last Updated” date — at least thirty (30) days before the change takes effect, except that (a) changes required to comply with applicable law and (b) changes that solely address new functionality and do not adversely affect existing functionality may take effect immediately upon posting. Your continued access to or use of the Service after the effective date of the change constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, your sole remedy is to stop using the Service before the change takes effect.

10.12 Force Majeure. Neither party shall be liable for, nor shall be deemed to be in breach of these Terms by reason of, any delay in performance or non-performance (other than your payment obligations under Section 3) caused by an event beyond such party's reasonable control, including without limitation acts of God; natural disasters, fire, flood, earthquake, severe weather, or epidemic or pandemic; war, terrorism, civil unrest, sabotage, riot, or insurrection; labor dispute or strike; governmental action, embargo, or regulatory order; failure or unavailability of telecommunications, internet, hosting, or cloud-services infrastructure; power failure; or denial-of-service or other cyber attack. The affected party shall use commercially reasonable efforts to mitigate the effects of the force majeure event and to resume performance as promptly as practicable.

10.13 Assignment. You may not assign or otherwise transfer these Terms, or any rights or obligations hereunder, whether voluntarily, by operation of law, by merger or sale of assets, or otherwise, without Springform's prior written consent, and any attempted assignment or transfer in violation of this Section shall be null and void. Springform may freely assign or transfer these Terms, in whole or in part, without your consent, to (a) an affiliate or subsidiary, (b) any successor in interest in connection with a merger, acquisition, reorganization, change of control, or sale of all or substantially all of Springform's assets or business, or (c) any other party with your consent. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties' permitted successors and assigns.

10.14 No Third-Party Beneficiaries. Except for the Springform Parties (each of whom is an intended third-party beneficiary of Sections 6.2, 8, and 9), these Terms are for the sole benefit of the parties hereto and their respective permitted successors and assigns, and no other person or entity shall have or be deemed to have any legal or equitable right, benefit, or remedy of any nature whatsoever under or by reason of these Terms.

10.15 Notices. All legal notices and other communications required or permitted to be given hereunder to Springform shall be in writing and addressed to Pitchtape, Inc. d/b/a Springform, Attn: Legal, 226 W 15th Street, #4a, New York, New York 10011, with a copy by email to hello@springform.app. Springform may give notice to you by (a) email to the email address then associated with your Account, (b) an in-Service notification, or (c) a posting on https://springform.app. Notices shall be deemed effective: (i) upon receipt if delivered by hand or by overnight courier; (ii) three (3) business days after deposit if sent by certified mail, return receipt requested; (iii) on the date sent, if sent by email or in-Service notification (provided that no bounce-back or undeliverable notification is received); or (iv) on the date posted, if posted on https://springform.app.

10.16 Copyright Claims (DMCA). Springform respects the Intellectual Property Rights of others and complies with the Digital Millennium Copyright Act of 1998, as amended (the “DMCA”). If you believe that material on the Service infringes a copyright you own or control, please send a written notice that complies with 17 U.S.C. § 512(c)(3) to our designated Copyright Agent at the notice address set forth in Section 10.15, with a copy by email to hello@springform.app. Such notice must include: (a) a physical or electronic signature of the copyright owner or a person authorized to act on the owner's behalf; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material claimed to be infringing, with information reasonably sufficient to permit Springform to locate the material; (d) your contact information, including address, telephone number, and email address; (e) a statement that you have a good-faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner. Springform will respond to valid DMCA notices in accordance with the DMCA, and Springform may, in appropriate circumstances and at its discretion, terminate the Accounts of users determined to be repeat infringers.

10.17 Electronic Communications and Signatures. You consent to receive communications from Springform in electronic form (including by email and by in-Service notification), and you agree that all agreements, notices, disclosures, and other communications that Springform provides to you electronically satisfy any legal requirement that such communications be in writing. You further agree that an electronic signature (including by clicking an “I agree” button, checking a box, or otherwise indicating assent through the Service) shall have the same legal effect as a handwritten signature.

10.18 Independent Contractors. The parties are independent contractors. Nothing in these Terms shall be construed to create a partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties, and neither party shall have the authority to bind the other in any respect.

10.19 Severability; Reformation. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to render it valid, legal, and enforceable while preserving, to the maximum extent possible, the original intent of the parties; or, if such modification is not possible, that provision shall be severed from these Terms, and the remaining provisions of these Terms shall continue in full force and effect.

10.20 No Waiver. No failure or delay by Springform in exercising any right, power, privilege, or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, privilege, or remedy preclude any other or further exercise thereof or the exercise of any other right, power, privilege, or remedy. Any waiver must be in writing and signed by an authorized officer of Springform to be effective.

10.21 Headings; Interpretation. Section headings are for convenience of reference only and shall not be used in the interpretation of these Terms. The words “including,” “include,” and “such as” shall be construed as if followed by the phrase “without limitation.” The word “or” shall mean “and/or” except where the context requires otherwise. References to a statute or regulation shall include any successor provision and any rules or regulations promulgated thereunder. References to a section are to a section of these Terms unless otherwise indicated. The singular includes the plural and vice versa, where the context requires.

10.22 Entire Agreement. These Terms (together with the Privacy Policy, any Separate Agreement, and any rules, guidelines, or supplemental terms that Springform may post in connection with specific features of the Service and identify as a part of these Terms) constitute the entire agreement between you and Springform with respect to the subject matter hereof and supersede all prior or contemporaneous understandings, agreements, communications, representations, warranties, and proposals, whether oral or written, between you and Springform with respect to the subject matter hereof. In the event of any conflict between these Terms and the Privacy Policy, these Terms shall control, except with respect to the processing of Personal Information, in which case the Privacy Policy (and any executed DPA) shall control.

10.23 Contact. Questions about these Terms may be directed to Springform at hello@springform.app or at the notice address set forth in Section 10.15.
